Town Business Platform Terms

Last updated: 7 March 2026

These Town Business Platform Terms (the Business Terms) govern access to and use of the Town business platform, merchant dashboard, software tools, business listings, rewards tools, offers tools, digital loyalty features, campaigns, marketing features, event features, content tools, analytics and related business-facing services (together, the Business Services) made available by Town Platforms Limited (company number 16585137) whose registered office is at 71-75 Shelton Street, London, England, WC2H 9JQ (Town, we, us or our).

By signing an order, accepting an online checkout, clicking to accept, or accessing or using the Business Services, the business customer identified in the relevant sign-up, proposal, order form, checkout flow or account registration (the Business Customer, you or your) agrees to be bound by these Business Terms.

1. Business-only contract

The Business Services are made available only to businesses acting for purposes relating to their trade, business, craft or profession.

The individual accepting these Business Terms on behalf of a Business Customer confirms that they have authority to bind that Business Customer.

Consumer legislation that applies only to consumers does not apply to the Business Services or these Business Terms except where mandatory law requires otherwise.

2. The Business Services

Town provides a SaaS platform and related digital tools that may include merchant profiles, discovery features, rewards configuration, Town Cash participation, offer management, digital loyalty functionality, content uploads, campaigns, communications, events, reporting, integrations and related services.

The scope of the Business Services included in your subscription depends on the plan, proposal, order form, checkout, annual package, custom agreement or other commercial terms agreed with us from time to time.

We may introduce, remove, amend, replace, develop or discontinue features at any time, including where required for legal, operational, security or product reasons.

3. Subscription plans, fees and billing

3.1 Fees

Business subscriptions may be offered on a monthly or annual basis and may include pricing such as £20, £55, £75, £195 or £250 per month, or such other standard, promotional, discounted, bespoke, custom or enterprise pricing as we determine.

Any onboarding fee, setup fee, campaign fee, add-on fee, annual commitment, custom minimum term or other special commercial term will apply only where expressly stated in writing, on the checkout, on an order form, invoice or proposal.

3.2 Monthly subscriptions

Unless otherwise expressly agreed, monthly subscriptions:

  • are rolling monthly subscriptions;
  • renew automatically;
  • may be cancelled at any time before the next renewal date; and
  • remain payable for the current billing period.

3.3 Annual subscriptions and minimum terms

Where you purchase an annual plan, custom package, enterprise package or other subscription with a stated minimum term, you commit for that minimum term.

Annual plans and minimum-term subscriptions are non-cancellable during the committed term except where we expressly agree otherwise in writing, and payments made for such plans are non-refundable.

3.4 Trials and pilots

We may, at our discretion, offer free trials, pilot periods, discounted periods, promotional access or temporary concessions. Unless expressly stated otherwise, we may modify or withdraw those arrangements at any time.

3.5 Invoicing and payment processing

Fees are payable in advance and may be processed through third-party payment providers, including Stripe.

You authorise us and our payment processor to charge the payment method associated with your account for all fees, renewals, add-ons, overages, taxes and other sums due.

3.6 Taxes

Fees are exclusive of VAT and any other applicable taxes unless expressly stated otherwise.

3.7 No refunds

Except where required by law or expressly agreed by us in writing, all fees, charges and payments are non-refundable.

A request for goodwill review does not create any obligation on Town to issue any refund, credit or waiver.

3.8 Price changes

We may change our prices or billing structure by giving at least 30 days’ notice or one subscription period’s notice, whichever is greater.

4. Merchant content, listings, offers and loyalty programmes

You are solely responsible for all business information, listings, content, assets, menus, descriptions, pricing, photographs, logos, events, promotions, offer terms, reward terms, redemption conditions, digital loyalty programmes and other material that you submit, upload, publish, configure, display or make available through the Business Services (Business Content).

You warrant and represent that:

  • you have all rights, licences, permissions and consents necessary to use and submit Business Content;
  • your Business Content is accurate, not misleading and legally compliant;
  • your Business Content and your use of the Business Services will not infringe any third-party rights;
  • your offers, promotions, discounts and loyalty mechanics comply with all applicable laws, codes and guidance; and
  • you will honour all valid offers, redemptions and loyalty commitments that you publish or activate through the Business Services.

You acknowledge and agree that Town may, at its discretion and without notice, remove, refuse, reject, reformat, moderate, disable or take down any Business Content, listing, offer or campaign.

5. Responsibility for fulfilment and merchant compliance

The Business Customer is solely responsible for:

  • all goods and services it sells or supplies;
  • all consumer interactions, staffing, service delivery and fulfilment;
  • honouring its own promotions, offers, redemptions and digital loyalty commitments;
  • stock and service availability;
  • pricing accuracy and promotional accuracy;
  • handling all customer complaints, refunds, returns and legal claims relating to its own goods and services; and
  • compliance with all applicable laws and regulations, including consumer law, trading standards, age-restriction rules, advertising law, food safety, health and safety, accessibility and sector-specific requirements.

Town does not manufacture, store, inspect, prepare, sell, resell, deliver or guarantee any merchant goods or services.

Without limitation, the digital loyalty card or other merchant-run loyalty mechanism is the responsibility of the relevant Business Customer and not Town.

6. Town Cash, platform-funded rewards and reimbursement arrangements

Town may, at its discretion, operate network-wide rewards or Town Cash programmes that interact with merchant participation.

You acknowledge that Town may determine the structure, eligibility rules, issue logic, redemption pathways, caps, conditions, suspension, reversal and discontinuation of any Town-funded or platform-wide reward mechanism.

In some cases, where a consumer redeems Town Cash or another Town-supported reward with a participating business, Town may reimburse that business an amount determined by Town or otherwise agreed with the business for the relevant redemption. By way of example only, Town may reimburse a business £8, £10, £20 or such other amount or agreed value as Town determines or agrees in relation to that reward redemption.

Any such reimbursement arrangement:

  • is offered at Town’s discretion unless otherwise expressly agreed in writing;
  • is subject to the business complying with any stated promotional conditions, redemption rules, submission requirements, evidence requirements, fraud checks, timing rules and claim procedures;
  • does not give Town Cash any cash value, stored value or payment status;
  • does not create any obligation on Town to reimburse all discounts, all offers or all redemptions unless expressly agreed by Town in writing; and
  • may be withheld, reduced, adjusted, reversed or refused where fraud, abuse, error, duplicate claims, ineligible redemptions, refunded transactions, inaccurate reporting, breach of these Business Terms or failure to comply with campaign conditions is suspected or identified.

Where merchant-funded, co-funded or additional merchant-specific rewards are offered, you remain fully responsible for the accuracy of the relevant offer and for any fulfilment obligations allocated to you.

Town may require evidence of redemption, transaction data, till records or other supporting information before processing any reimbursement.

Unless otherwise expressly agreed, reimbursement timings, claim windows, caps and settlement processes shall be determined by Town.

7. Licence to Business Content

As between the parties, you retain ownership of your Business Content.

You grant Town a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to host, store, copy, reproduce, adapt, modify, format, translate, distribute, publish, display, perform and otherwise use your Business Content for the purpose of:

  • operating and improving the Business Services and related consumer-facing services;
  • marketing, promoting and publicising Town, the Business Services, the Town network and participating businesses;
  • creating case studies, promotional materials, social content, advertisements, sales materials, decks, showcases and platform collateral; and
  • any other commercial or promotional purpose connected with Town’s business,

for the duration of your use of the Business Services and thereafter for so long as the relevant Business Content remains incorporated into archived, historical, analytical, marketing, promotional or platform materials.

You waive, and agree not to assert, any moral rights or similar rights to the extent legally permissible.

8. Acceptable use and restrictions

You must not, and must not permit any user or third party to:

  • use the Business Services unlawfully, fraudulently or deceptively;
  • submit false, misleading, defamatory, infringing or unlawful Business Content;
  • use the Business Services in a manner that could damage Town, the platform, other businesses or consumers;
  • reverse engineer, decompile, disassemble, copy or attempt to derive source code, algorithms or underlying ideas except where prohibited by law;
  • scrape, harvest, mirror or systematically extract platform data without our written consent;
  • interfere with platform performance, integrity or security;
  • use the Business Services to send spam or unlawful marketing communications;
  • misuse Town branding, present yourself as Town, or imply an agency, partnership or endorsement beyond your actual participation in the platform;
  • access the Business Services to build a competing product or service; or
  • circumvent subscription restrictions, access controls or feature gating.

9. Account administration and authorised users

You are responsible for all authorised users, sub-users, staff members, contractors and other persons who access the Business Services through your account.

You must ensure that your login credentials are kept confidential and secure.

You remain liable for all activity conducted through your account, whether authorised by you or not, unless and to the extent caused by our breach.

10. Integrations and third-party services

The Business Services may interoperate with third-party services, platforms, APIs, payment processors, maps, analytics tools or future integrations.

Town does not control and is not responsible for third-party services, their availability, accuracy, security, terms, acts or omissions.

Your use of third-party services may be subject to separate terms with those providers.

11. Data protection and privacy

Each party shall comply with applicable data protection law.

Town’s handling of personal data is described in the Privacy Policy and, where applicable, any separate data processing agreement or addendum made available by Town.

Unless and until Town expressly enables business data import, export or other processor-style services, the parties acknowledge that the Business Services are not intended to involve Town processing customer databases uploaded by the Business Customer.

12. Intellectual property and feedback

All intellectual property rights in and to the Business Services, including all software, interfaces, workflows, features, data models, platform architecture, documentation, branding and improvements, are and shall remain owned by or licensed to Town.

Except for the limited rights expressly granted under these Business Terms, no rights are granted to you.

If you provide feedback, suggestions, ideas, feature requests or recommendations, you grant Town a perpetual, irrevocable, worldwide, royalty-free right to use, implement, commercialise and exploit them without restriction or compensation.

13. Confidentiality

Each party shall keep confidential all non-public information disclosed by the other that is identified as confidential or that ought reasonably to be understood as confidential.

This clause does not apply to information that is or becomes public through no fault of the receiving party, was already lawfully known, is independently developed, or must be disclosed by law or a competent authority.

14. Suspension and termination

We may suspend, restrict or terminate your access to the Business Services immediately, without liability and without prior notice, where we consider it reasonably necessary, including for:

  • non-payment;
  • breach of these Business Terms;
  • suspected fraud, abuse, illegality or reputational risk;
  • security incidents or platform integrity concerns;
  • content violations;
  • insolvency or threatened insolvency; or
  • operational, legal or regulatory reasons.

You may terminate a rolling monthly subscription by cancelling before the next renewal date.

Termination or expiry does not affect accrued rights, payment obligations already incurred, or any clause intended to survive termination.

On termination, we may disable access to your account, remove or retain Business Content, and delete or archive data in accordance with our retention practices.

15. Service levels, availability and support

Unless expressly agreed otherwise in writing, the Business Services are provided on an “as is” and “as available” basis with no guaranteed uptime, response time, error correction timeline, support level or service level agreement.

We may carry out maintenance, updates, emergency changes, security measures, platform migrations or feature removals at any time.

16. Warranties disclaimer

To the maximum extent permitted by law, Town excludes all implied warranties, conditions and representations, including any implied warranties of merchantability, fitness for a particular purpose, satisfactory quality, non-infringement and uninterrupted availability.

Town does not warrant that the Business Services will be error-free, uninterrupted, secure, compatible with every device or integration, or that they will generate any particular commercial outcome, revenue uplift, customer growth, redemption volume, retention improvement or marketing result.

17. Indemnities

You shall indemnify, defend and hold harmless Town and its officers, directors, employees, contractors, affiliates and representatives from and against all losses, liabilities, damages, claims, actions, fines, penalties, costs and expenses (including reasonable legal fees) arising out of or in connection with:

  • your Business Content;
  • your offers, promotions, pricing, goods, services or fulfilment;
  • any allegation that your Business Content infringes third-party rights;
  • your breach of these Business Terms;
  • your breach of applicable law; or
  • any claim by a consumer, regulator, merchant partner or third party relating to your business, acts, omissions, products or services.

18. Limitation of liability

Nothing in these Business Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

Subject to the paragraph above, Town shall not be liable whether in contract, tort (including negligence), breach of statutory duty or otherwise for any:

  • indirect, incidental, special, punitive or consequential loss;
  • loss of profit, revenue, sales, business, contracts, customers, reputation, goodwill, anticipated savings or opportunity;
  • loss or corruption of data;
  • business interruption;
  • wasted management time;
  • losses arising from offer misuse, reward misuse, fraud by users or third parties, or merchant redemption issues;
  • losses arising from third-party services, integrations or payment processors;
  • losses arising from unauthorised access to your account where you failed to maintain adequate credential security; or
  • losses arising from any act or omission of consumers, other merchants or third parties.

Subject to the first paragraph of this clause, Town’s total aggregate liability arising out of or in connection with the Business Services and these Business Terms shall not exceed the greater of:

  • the total fees paid by you to Town in the 12 months immediately preceding the event giving rise to the claim; and
  • £100.

19. Changes to the Business Services and these Business Terms

We may update or amend these Business Terms from time to time.

Where we make changes that materially affect your rights or obligations, we will generally seek to give notice, including through the platform, by email, at checkout or by other reasonable means. Your continued use of the Business Services after the effective date of any update constitutes acceptance of the revised Business Terms.

20. Force majeure

Town shall not be liable for any delay or failure to perform arising from events beyond its reasonable control, including failure of suppliers, internet outages, utility interruptions, cyber incidents, strikes, epidemics, government action or force majeure events.

21. General

These Business Terms, together with any applicable order form, proposal, checkout, annual package, custom commercial terms, Privacy Policy and any data processing addendum expressly incorporated by reference, constitute the entire agreement between the parties in relation to the Business Services.

If any provision is held invalid or unenforceable, the remainder shall remain in full force and effect.

No failure or delay by Town to enforce any right shall operate as a waiver.

You may not assign, transfer, charge, subcontract or otherwise deal with your rights or obligations under these Business Terms without our prior written consent. We may assign or transfer these Business Terms at any time.

A person who is not a party to these Business Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Business Terms.

22. Governing law and jurisdiction

These Business Terms and any non-contractual disputes or claims arising out of or in connection with them are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Business Terms or their subject matter.

Town Business Data Processing Addendum

Last updated: 7 March 2026

This Business Data Processing Addendum (the DPA) forms part of the Town Business Platform Terms between Town Platforms Limited and the relevant Business Customer.

1. Purpose and scope

This DPA applies only to the extent that Town processes personal data on behalf of the Business Customer as a processor in connection with the Business Services.

Where Town processes personal data for its own purposes, including platform operations, security, fraud prevention, service improvement, analytics, AI development, merchant network operation, rewards network administration, recommendations, reimbursement logic and compliance, Town acts as an independent controller, and this DPA does not apply to that controller processing.

2. Definitions

In this DPA:

  • Controller, Processor, Personal Data, Data Subject, Processing, Personal Data Breach and Supervisory Authority have the meanings given in applicable data protection law.
  • Applicable Data Protection Law means the UK GDPR, the Data Protection Act 2018 and any other applicable data protection or privacy laws.
  • Business Customer Personal Data means personal data processed by Town as processor on behalf of the Business Customer under this DPA.

3. Nature of the processing

To the extent this DPA applies:

  • Subject matter: provision of the Business Services and related support.
  • Duration: for as long as Town processes Business Customer Personal Data on behalf of the Business Customer.
  • Nature of processing: hosting, storing, organising, retrieving, displaying, transmitting, analysing, supporting and otherwise processing personal data as necessary to provide the relevant processor services.
  • Categories of data subjects: may include the Business Customer’s customers, prospects, staff, authorised users or other individuals whose personal data the Business Customer instructs Town to process.
  • Categories of personal data: may include names, contact details, transaction-related data, communication data, identifiers and other categories the Business Customer submits or instructs Town to process through the relevant processor functionality.

4. Controller and processor roles

The parties acknowledge that, for most ordinary operation of the Town platform, Town acts as an independent controller.

This DPA applies only in the limited circumstances where Town expressly processes personal data solely on behalf of the Business Customer under documented instructions.

5. Business Customer instructions

Town shall process Business Customer Personal Data only on documented instructions from the Business Customer, unless required to do otherwise by law.

The Business Customer’s use of the Business Services, configuration of processor-enabled functionality and written directions form its instructions to Town.

The Business Customer must ensure that its instructions are lawful and that it has all necessary rights, notices and lawful bases to provide the personal data to Town for processing.

6. Confidentiality

Town shall ensure that persons authorised to process Business Customer Personal Data are subject to appropriate confidentiality obligations.

7. Security

Town shall implement appropriate technical and organisational measures designed to protect Business Customer Personal Data, taking into account the nature, scope, context and purposes of the processing and the risks to individuals.

Such measures may include, where appropriate:

  • access controls;
  • role-based permissions;
  • hashing, pseudonymisation or separation techniques where relevant;
  • encryption in transit and at rest where appropriate;
  • logging and monitoring;
  • environment and infrastructure controls;
  • incident response processes; and
  • processor and subprocessor management.

8. Subprocessors

The Business Customer authorises Town to use subprocessors in connection with the processor services covered by this DPA.

Town shall ensure that any subprocessor engaged for Business Customer Personal Data is bound by data protection obligations that provide materially equivalent protection to those set out in this DPA. ICO guidance requires processor contracts to include appropriate Article 28 protections and equivalent obligations for subprocessors.

Town remains responsible for the performance of its subprocessors to the extent required by applicable law.

9. Assistance with data subject rights

Taking into account the nature of the processing, Town shall provide reasonable assistance to the Business Customer, through appropriate technical and organisational measures where feasible, to help the Business Customer respond to requests from individuals exercising their rights under applicable data protection law.

10. Assistance with compliance

Taking into account the nature of the processing and the information available to Town, Town shall provide reasonable assistance to the Business Customer with:

  • security obligations;
  • personal data breach notifications where applicable;
  • data protection impact assessments where required; and
  • consultations with regulators, to the extent required by law and relevant to Town’s processor role.

11. Personal data breaches

If Town becomes aware of a confirmed Personal Data Breach affecting Business Customer Personal Data processed under this DPA, Town shall notify the Business Customer without undue delay.

Town may provide information in phases as it becomes available.

Town shall take reasonable steps to investigate, contain and mitigate the effects of the breach.

12. International transfers

Where Town, as processor under this DPA, transfers Business Customer Personal Data outside the UK, Town shall use an appropriate lawful transfer mechanism where required, such as adequacy regulations or Article 46 safeguards.

13. Return and deletion

Upon termination of the relevant processor services, Town shall, at the Business Customer’s choice and to the extent technically feasible, delete or return Business Customer Personal Data, unless storage is required by law or justified by limited retention for security, backup integrity, legal claims handling or compliance purposes.

Town may retain anonymised, aggregated or irreversibly de-identified data that no longer constitutes personal data.

14. Information and audit

Town shall make available to the Business Customer information reasonably necessary to demonstrate compliance with this DPA.

Where the Business Customer reasonably requires an audit, the parties shall first seek to satisfy that requirement using documentation, certifications, summaries, questionnaires or similar materials.

Any in-person or intrusive audit must:

  • be reasonably necessary;
  • be proportionate;
  • be subject to confidentiality obligations;
  • occur during normal business hours;
  • avoid undue disruption; and
  • not expose Town’s confidential information, security architecture or data relating to other customers.

The Business Customer shall bear its own audit costs and reimburse Town’s reasonable internal and external costs of supporting audit activity, except where the audit identifies a material breach of this DPA by Town.

15. AI and controller processing clarification

The Business Customer acknowledges that Town’s development, training, testing, validation and improvement of its own AI, machine learning, ranking, recommendation, fraud detection, forecasting and analytics systems are generally carried out by Town in its capacity as an independent controller, not as processor for the Business Customer, unless expressly agreed otherwise in writing.

Where lawful and appropriate, Town may use platform-level data for those controller purposes using privacy-enhancing methods such as hashing, decoupling, aggregation, pseudonymisation, anonymisation or other minimisation techniques where reasonably possible.

16. Liability

This DPA is subject to the liability framework set out in the Town Business Platform Terms, unless the parties expressly agree otherwise in writing.

17. Order of precedence

If there is a conflict between this DPA and the Town Business Platform Terms on a matter of processor data protection obligations, this DPA prevails to the extent of that conflict.
